Applicable Panamanian Legislation
Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms of Service, the parties agree to the following resolution process:
Informal Negotiation (30 Days)
The parties shall first attempt to resolve any dispute through good-faith informal negotiation. You must contact Softy Panda's Legal Department in writing, describing the nature of the dispute and the relief sought. We will endeavor to resolve the matter within thirty (30) calendar days.
Mediation
If informal negotiation fails, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator in Panama City, Republic of Panama. The costs of mediation shall be shared equally between the parties.
Binding Arbitration
If mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration conducted in Panama City in accordance with the rules of the Centro de Conciliación y Arbitraje de Panamá (CeCAP). The arbitration shall be conducted in Spanish and/or English, and the arbitrator's decision shall be final and binding.
Notwithstanding the foregoing, Softy Panda reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information.
Severability & Entire Agreement
If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
The failure of Softy Panda to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Softy Panda regarding the use of the Website and supersede all prior agreements, understandings, and communications.
